SongOnCue Terms of Service

1. Agreement to These Terms

By creating an account, using SongOnCue, submitting a song request or tip, or otherwise accessing the service, you agree to these Terms of Service.

If you do not agree to these Terms, do not use SongOnCue.

2. What SongOnCue Provides

SongOnCue provides technology that helps bands, performers, and audiences interact during live entertainment. Features may include public song lists, QR codes, song requests, priority amounts, tipping, performance sessions, live dashboards, member access, payment processing, and related tools.

SongOnCue is a technology platform. SongOnCue does not control the artistic decisions, set list, performance quality, timing, venue rules, or actions of an independent band or performer.

3. Accounts

You are responsible for providing accurate account information, maintaining the security of your login credentials, and keeping your account information current.

You are responsible for activity occurring through your account unless you promptly notify SongOnCue of unauthorized access.

4. Bands, Members, and Account Owners

A SongOnCue account may belong to or manage one or more bands or performer profiles. Different users may have different roles and permissions.

The Account Owner is responsible for financial and ownership-level settings, including payout setup and transfer of ownership where available.

Bands are responsible for controlling who is invited, approved, removed, or permitted to manage their SongOnCue account.

5. Song Lists and Content

SongOnCue may provide a master catalog of song titles, artists, genres, estimated lengths, and related reference information. Bands may also add their own song entries.

Song information is intended for identification and operational use. Estimated song lengths are approximate and may differ from live performance lengths.

Users must not upload unlawful, infringing, abusive, deceptive, or otherwise prohibited content.

6. Performance Sessions

Bands may start and end performance sessions, select venues, enable or disable requests and tips, and set request pricing for a particular performance.

The band remains responsible for managing the live performance and deciding which requests are appropriate to accept or play.

7. Song Requests Are Not Guarantees

Submitting or paying for a song request does not guarantee that the song will be played.

A band may decline, delay, reorder, or choose not to play a request because of time limits, venue requirements, artistic judgment, technical issues, duplicate requests, the flow of the performance, or other reasonable considerations.

Priority amounts may help a band identify higher-value requests, but priority does not create an absolute guarantee of play order or performance.

8. Payments for Song Requests

Customers are shown the applicable request amount before they submit payment. Song request pricing may include a band-set minimum, a special song price, and an optional additional priority amount.

Payment processing may involve authorization, capture, cancellation, reversal, or refund steps depending on the status of the request and the payment method used.

If a request is declined before completion of the payment flow, SongOnCue's intended payment design is that the customer should not be charged for a request that the band declined.

Banks and card issuers may temporarily display pending authorizations even when a transaction is later canceled or not captured. The timing for releasing those pending amounts is controlled by the financial institution, not SongOnCue.

9. Tips

Tips are voluntary payments intended for the band or performer.

SongOnCue does not take a percentage of tips. Applicable payment-processing fees may still be deducted by Stripe or another payment processor.

Because tips are voluntary payments to the performer, they may be treated differently from declined song requests.

10. SongOnCue Fees

SongOnCue currently charges a 5% platform fee on paid song requests.

SongOnCue currently charges 0% on tips.

Payment-processing fees are separate from SongOnCue's platform fee. Stripe processing is currently described on the site using an estimated standard rate of 2.9% + $0.30 per transaction, but actual processor fees may vary by account, payment method, region, card type, or future pricing changes.

SongOnCue may change fees in the future. Material pricing changes will be communicated through the service or reflected on the pricing section of the website.

11. Stripe and Payouts

SongOnCue may use Stripe to process payments, onboard connected payout accounts, and distribute funds to bands or performers.

Users receiving payouts may be required to provide identity, tax, business, bank-account, or other information directly to Stripe.

Stripe's own terms, eligibility requirements, verification procedures, processing rules, holds, payout schedules, and fees may also apply.

12. Refunds, Reversals, and Disputes

Refund, cancellation, and reversal handling may depend on the payment state, whether a request was accepted or declined, the payment method used, and the rules of the payment processor.

Customers should contact SongOnCue or the relevant performer if they believe a payment was processed incorrectly.

Chargebacks, payment disputes, fraud claims, and payment-processor adjustments may result in amounts being withheld, reversed, or deducted from future payouts where permitted.

13. Performer Responsibilities

Bands and performers are responsible for:

• setting accurate song-request prices;
• managing their song lists and custom songs;
• operating their live request dashboard responsibly;
• complying with venue rules and applicable laws;
• handling performance decisions in good faith;
• keeping payout and account information current; and
• complying with any tax, licensing, reporting, or business obligations that apply to them.

14. Prohibited Use

You may not use SongOnCue to:

• engage in fraud, theft, payment abuse, or deceptive activity;
• access another user's account without authorization;
• interfere with the operation or security of the service;
• submit malicious code or automated abuse;
• harass, threaten, or impersonate others;
• solicit song requests through tip comments to avoid applicable fees;
• violate applicable law; or
• use SongOnCue in a way that creates unreasonable risk for the platform or its users.

15. Availability and Changes

SongOnCue may add, change, suspend, or remove features as the service develops.

We do not guarantee that the service will always be available, uninterrupted, error-free, or compatible with every device, browser, venue network, or payment method.

16. Account Suspension or Termination

SongOnCue may suspend or terminate access when reasonably necessary for security, suspected fraud, abuse, nonpayment, legal compliance, violation of these Terms, or protection of the platform and its users.

Users may also request account deletion where that feature is available, subject to retention of records that must be preserved for legal, financial, security, or transaction purposes.

17. Intellectual Property

SongOnCue's software, branding, website design, original text, logos, and platform features are owned by or licensed to SongOnCue and may not be copied or used without permission except as allowed by law.

References to song titles and artists are used to identify music and do not imply ownership of the underlying musical works or recordings.

18. Disclaimer

SongOnCue is provided on an "as available" basis. To the extent permitted by law, SongOnCue disclaims warranties that are not expressly stated in these Terms.

SongOnCue is not responsible for a band's artistic decisions, venue conditions, audience behavior, internet connectivity, third-party payment systems, or other matters outside SongOnCue's reasonable control.

19. Limitation of Liability

To the extent permitted by applicable law, SongOnCue will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the service.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply in every situation.

20. Third-Party Services

SongOnCue may integrate with or link to third-party services, including Stripe, Instagram, email providers, hosting providers, printing vendors, or other services.

SongOnCue is not responsible for the independent terms, policies, availability, or actions of third-party services.

21. Changes to These Terms

We may update these Terms as SongOnCue develops. The effective date at the top of this page will be updated when changes are made.

Continued use of SongOnCue after updated Terms become effective may constitute acceptance of the updated Terms where permitted by law.
